READ THIS AGREEMENT CAREFULLY. BY ACCESSING OR USING SELECTNSOLVE™ IN ANY TIER (BASIC, PRO, OR CLASSROOM), YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SOFTWARE.

1. Acceptance of Terms

These Terms of Service ("Agreement") constitute a legally binding contract between you ("User," "you," or "your") and My Engineering Project LLC, a Florida limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the selectNsolve™ Google Sheets add-on software suite, including the Basic (free), Pro, and Classroom tiers (collectively, the "Software" or "Service").

By installing, enabling, accessing, or using the Software in any capacity, you represent that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy, incorporated herein by reference.

2. Description of Service

selectNsolve™ is a computational tool that assists users in setting up and solving mathematical equations, unit conversions, and related numerical calculations within Google Sheets. The Software is provided as a productivity aid ONLY. It is NOT a licensed professional engineering service, professional design tool, or substitute for independent professional judgment.

Features vary by tier: Basic (free) provides core equation-solving functionality; Pro adds multi-variable solvers, unit management, and advanced constraint handling; Classroom adds enhanced capacity and educational features.

3. Not Professional Engineering Advice

THE SOFTWARE DOES NOT CONSTITUTE AND SHALL NOT BE CONSTRUED AS PROFESSIONAL ENGINEERING ADVICE, STRUCTURAL ENGINEERING GUIDANCE, MECHANICAL ENGINEERING DESIGN, ELECTRICAL ENGINEERING DESIGN, PLUMBING OR HVAC ENGINEERING DESIGN, FIRE PROTECTION ENGINEERING DESIGN, ARCHITECTURAL DESIGN, LEGAL ADVICE, FINANCIAL ADVICE, MEDICAL ADVICE, OR ANY OTHER LICENSED PROFESSIONAL SERVICE.

All outputs generated by the Software, regardless of tier, are raw computational results based solely on the mathematical equations, inputs, and constraints provided by the User. The accuracy, completeness, and appropriateness of any output depend entirely on the correctness of the User's inputs, equations, and constraints.

Users who are licensed professionals are solely responsible for independently verifying all Software outputs and exercising their own professional judgment before incorporating any result into any professional work product, design document, engineering drawing, permit submission, or advice given to any third party.

Users who are not licensed professionals are solely responsible for consulting appropriate licensed professionals before relying on any Software output for any purpose involving safety, structural integrity, life safety systems, code compliance, or any regulated activity.

4. Disclaimer of Warranties

THE SOFTWARE AND ALL OUTPUTS THEREFROM ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MY ENGINEERING PROJECT LLC EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION:

  • Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement;
  • Any warranty that the Software will be uninterrupted, error-free, or free of bugs, viruses, or harmful components;
  • Any warranty that computational outputs will be accurate, complete, current, or suitable for any purpose;
  • Any warranty that the Software conforms to any engineering standard, building code, or regulatory requirement;
  • Any warranty arising from course of dealing, course of performance, or usage of trade.

NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY THE COMPANY OR ANY OF ITS REPRESENTATIVES SHALL CREATE A WARRANTY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU IN THEIR ENTIRETY, BUT SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MY ENGINEERING PROJECT LLC, ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SUCCESSORS BE LIABLE FOR ANY:

  • Direct, indirect, incidental, special, consequential, exemplary, or punitive damages;
  • Damages for loss of profits, revenue, data, goodwill, or business opportunities;
  • Damages arising from personal injury, property damage, or loss of life resulting from reliance on Software outputs;
  • Damages arising from errors, omissions, inaccuracies, or miscalculations in any Software output, regardless of tier;
  • Damages arising from the User's failure to independently verify Software outputs;
  • Damages arising from use of the Software in connection with any professional engineering, design, architectural, construction, or safety-critical activity;
  • Damages arising from third-party claims against the User based on the User's reliance on Software outputs;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL OR EQUITABLE THEORY, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) TEN UNITED STATES DOLLARS ($10.00). FOR USERS OF THE FREE (BASIC) TIER, THE COMPANY'S TOTAL MAXIMUM LIABILITY SHALL BE ZERO DOLLARS ($0.00).

6. User Indemnification

You agree to defend, indemnify, hold harmless, and release My Engineering Project LLC, its members, officers, contractors, agents, and successors (collectively, "Indemnified Parties") from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Software or any output therefrom;
  • Your reliance on any Software output without independent professional verification;
  • Your incorporation of any Software output into any professional work product, design, submission, or advice;
  • Any claim by a third party (including your clients, employers, regulators, or government authorities) arising from your use of Software outputs;
  • Your violation of this Agreement, any applicable law, or any third-party rights;
  • Any errors, omissions, or inaccuracies in the inputs, equations, or constraints you provided to the Software.

This indemnification obligation survives termination of this Agreement and your cessation of use of the Software.

7. User Responsibilities and Acknowledgments

By using the Software, you expressly acknowledge and agree that:

  • You are solely responsible for verifying the accuracy of all inputs, equations, constraints, and assumptions you provide to the Software;
  • You are solely responsible for verifying all computational outputs before use in any application;
  • No Software output replaces the judgment of a licensed professional engineer or other licensed professional;
  • You will not use Software outputs as the sole basis for any design, construction, or decision affecting public safety, structural integrity, life safety systems, or regulated activities without independent professional review;
  • The Levenberg-Marquardt and other numerical solvers used by the Software are iterative approximation algorithms that may produce locally optimal but globally incorrect solutions, and may fail to converge under certain conditions;
  • Results may vary based on initial conditions, convergence tolerances, and the mathematical properties of the system of equations provided.

8. Intellectual Property

The Software, including all source code, algorithms, user interface designs, documentation, and the selectNsolve™ trademark, are the exclusive intellectual property of My Engineering Project LLC. The selectNsolve™ trademark is registered under Nice Class 42. Unauthorized reproduction, reverse engineering, redistribution, or creation of derivative works is prohibited.

Users are granted a limited, non-exclusive, non-transferable, revocable license to use the Software solely for their personal or internal business purposes in accordance with this Agreement and the applicable tier subscription.

9. Subscription, Payment, and Refunds

Pro tier subscriptions are billed monthly ($7.99/month) or annually ($59/year) via Stripe. Classroom tier pricing is separately agreed. Subscriptions renew automatically. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Stripe is the sole payment processor. The Company does not store your payment card information. Stripe's terms and privacy policy govern payment processing.

10. Termination

The Company may suspend or terminate your access to the Software at any time, with or without cause, and with or without notice, including for violation of this Agreement. Upon termination, all licenses granted to you immediately cease. Sections 3, 4, 5, 6, 7, 8, and 13 survive termination.

11. Updates to Terms

The Company reserves the right to modify this Agreement at any time. Updated terms will be posted to the website with a new effective date. Continued use of the Software after the effective date constitutes acceptance of the modified terms.

12. Privacy

Your use of the Software is also governed by our Privacy Policy available at myengineeringproject.com/privacy. The Privacy Policy is incorporated by reference into this Agreement.

13. Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising from or relating to this Agreement or the Software shall be submitted to binding arbitration in Pinellas County, Florida, under the rules of the American Arbitration Association (AAA) Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST THE COMPANY.

14. Severability; Entire Agreement

If any provision of this Agreement is found invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and the Company regarding the Software and supersedes all prior agreements and understandings.
